These Terms of Service ("Terms") govern your access to and use of ListIQ (the "Service"), operated by [LEGAL_NAME] ("ListIQ", "we", "us"). By creating an account, running an audit, or subscribing, you agree to these Terms. If you do not agree, do not use the Service.

1. What ListIQ is

ListIQ is a software tool that analyzes product listings on Wayfair and suggests search-optimized copy and improvements. The Service provides diagnostic information and suggestions only. ListIQ is not affiliated with, endorsed by, or sponsored by Wayfair Inc. "Wayfair" is a trademark of its owner and is used only to describe the marketplace the Service works with.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly at [CONTACT_EMAIL] of any unauthorized use.

3. The free audit

The free audit lets you analyze a limited number of SKUs without payment. Free audit output is provided for evaluation. We may change or limit the free audit at any time.

4. Subscriptions, billing & payment processor

Payments are processed by Paddle, which acts as the Merchant of Record. When you purchase a subscription, Paddle (Paddle.com Market Ltd and its affiliates) is the seller of record, handles the transaction, charges your payment method, and is responsible for billing, payment-related taxes, and the payment receipt. Your purchase is also subject to Paddle's Buyer Terms presented at checkout. ListIQ provides the software; Paddle handles the payment relationship.

  • Plans & pricing. Current plans, prices, billing intervals (monthly or annual), and included limits are shown on our pricing page and at checkout before you pay. Prices may change prospectively; changes won't affect the period you've already paid for.
  • Auto-renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current price, using your payment method on file, until you cancel. By subscribing you authorize these recurring charges.
  • Cancellation. You can cancel at any time from your account or via the link in your payment receipt / Paddle. Cancellation stops future renewals; you keep access until the end of the period already paid for. We do not impose contract lock-in or cancellation fees.
  • Renewal notices. Where required by law, we (or Paddle) will provide advance notice of renewals and any price changes.
  • Taxes. Applicable sales tax, VAT, or GST is handled by Paddle as Merchant of Record and shown at checkout.

5. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms, and by Paddle's Buyer Terms. Your statutory consumer rights (including under applicable U.S. state law and Canadian provincial consumer-protection law) are not affected by anything in these Terms.

6. Acceptable use

You agree not to:

  • resell, sublicense, or redistribute the Service or its output as your own product;
  • use the Service to violate Wayfair's terms, any marketplace policy, or any law;
  • scrape, overload, reverse-engineer, or attempt to disrupt or gain unauthorized access to the Service;
  • upload unlawful content or infringe others' rights;
  • use automated means to exceed your plan's limits. We may suspend or terminate accounts that breach this section.

7. Your content & data

You retain ownership of the listing data, SKUs, and other content you submit ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service to you (including analyzing listings and generating suggestions). How we handle personal data is described in our Privacy Policy.

8. Our intellectual property

The Service, including its software, design, text, and the form of its outputs (excluding Your Content), is owned by ListIQ and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business while your account is active. Suggested copy generated for your listings is yours to use on your listings.

9. Suggestions are not guarantees — important

The Service provides diagnostic analysis and copy suggestions based on publicly available marketplace signals and our methodology. We do not guarantee any specific search ranking, sales, traffic, conversion, or business outcome. Marketplace algorithms, competitor behavior, and external factors are outside our control. You are solely responsible for any changes you choose to make to your listings and for ensuring they comply with Wayfair's policies and applicable law. The Service does not modify your live listings without your action.

10. Third-party services

The Service relies on third parties (including Paddle for payments, and our hosting, database, and email providers). Their availability is outside our control, and your use of payment features is also subject to Paddle's terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE PARTICULAR RESULTS. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ListIQ AND [LEGAL_NAME] WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US (OR VIA PADDLE FOR THE SERVICE) IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Nothing limits liability that cannot be limited by law, and your statutory consumer rights remain.

13. Indemnification

You agree to indemnify and hold harmless ListIQ and [LEGAL_NAME] from claims, damages, and expenses arising from Your Content, your use of the Service, or your breach of these Terms or any third-party (including marketplace) policy.

14. Changes & termination

We may modify or discontinue the Service, and may update these Terms; material changes will be posted here with a new "Last updated" date and, where required, notified to you. Continued use after changes means you accept them. You may stop using the Service at any time. We may suspend or terminate access for breach or where required by law.

15. Governing law & disputes

These Terms are governed by the laws of [GOVERNING_JURISDICTION], without regard to conflict-of-law rules. Mandatory consumer-protection rights in your country of residence (including applicable U.S. state and Canadian provincial law) still apply where they cannot be waived.
